1. Nature of Business & Applicability
These Terms of Business govern all quotes, orders, fabric swatch requests, sample yardages, and bulk production contracts entered into with FabFashion ("the Manufacturer"), headquartered in Kalbadevi, Mumbai, India. FabFashion operates strictly as a Business-to-Business (B2B) textile manufacturer supplying garment manufacturers, retail brands, exporters, and private-label fashion houses.
2. Fabric Sampling & Lab Dips
To enable accurate decision-making for buyers:
- Catalog Swatches: A4 / hanger swatch samples from running catalog collections (Oxford, Twill, Poplin, Herringbone, Linen) are provided to qualified business buyers upon request. Domestic courier charges within India may be covered by us; international courier/express airfreight costs are borne by the recipient or charged at actual cost.
- Custom Weaves & Lab Dips: Bespoke weaves and Pantone shade matching require preliminary technical sign-off. Lab dips (strike-offs) are typically provided within 7–10 working days.
- Sample Yardage: Yardage required for sampling garments prior to bulk orders is invoiced at nominal sampling surcharges, which may be credited against subsequent production runs exceeding minimum order quantities.
3. Minimum Order Quantities (MOQ) & Tolerances
- Running Catalog Collections: Standard MOQ is 500 to 1,000 metres per weave/colourway, subject to loom allocation and yarn stock.
- Custom Weave Developments: Custom weave constructions, bespoke dobby designs, or custom dyed yarn combinations require a minimum run of 1,200 to 2,500 metres depending on count and warp setup.
- Manufacturing Tolerances: In accordance with internationally accepted textile industry customs (ASTM / ISO textile standards), a delivery tolerance of ±5% in metre length and ±3% in GSM (fabric weight) is deemed commercial fulfillment due to loom setup, yarn shrinkage, and finishing dynamics. Invoices reflect actual delivered metres.
4. Quotations, Pricing & Payment Terms
- All commercial quotations are provided in Indian Rupees (INR) for domestic shipments or US Dollars (USD) / Euros (EUR) for international exports, based on mutually agreed Incoterms (EXW, FOB Nhava Sheva / Mumbai Port, or CIF).
- Prices remain valid for 15 days from quote issuance, owing to fluctuations in raw cotton yarn and dye chemical markets.
- Standard payment terms for new production contracts: 30% advance with purchase order confirmation; balance 70% against delivery / bill of lading copy (or irrevocable confirmed Letter of Credit at sight for established international buyers).
5. Quality Assurance, 7-Day Inspection Window & Replacement Policy
FabFashion inspects all fabric rolls on precision 4-point inspection machines prior to packaging. We stand firmly behind our craft:
B2B 7-Day Inspection & Replacement Policy:
1. The buyer must inspect delivered rolls within seven (7) business days of receipt at their warehouse and prior to cutting or dyeing the fabric.
2. In the rare event that manufacturing defects (such as major weave flaws, bowing exceeding 2.5%, or unapproved shade variation) are identified in uncut rolls, the buyer must notify FabFashion in writing with roll identification numbers, photos, and meterage.
3. Following verification by our quality control engineers, FabFashion will immediately arrange replacement production of the affected meterage at our cost or issue a corresponding credit note against the invoice.
4. Important Condition: As is standard across global textile manufacturing, once fabric has been cut into garment panels or chemically processed by the buyer, claims for weave or surface flaws cannot be accepted.
6. Packaging, Dispatch & Force Majeure
- Fabrics are rolled on heavy-duty corrugated tubes and double-wrapped in high-density polyethylene (HDPE) waterproof moisture-barrier wrapping suitable for long-distance marine transit.
- Production lead times are calculated from date of advance receipt and technical spec sign-off (typically 3–4 weeks for catalog running fabrics; 4–6 weeks for custom weaves).
- Neither party shall be liable for delivery delays arising from acts of God, extreme port congestion, power grid failures, or unforeseen civil emergencies (Force Majeure).
7. Intellectual Property & Custom Weave Exclusivity
Bespoke weave designs, registered Jacquard layouts, or proprietary yarn blend formulations developed specifically for an exclusive client collection remain the client's proprietary commercial property, provided agreed exclusivity volume commitments are satisfied. FabFashion guarantees that proprietary patterns developed under NDA will not be offered to competing brands.
8. Governing Law & Jurisdiction
All commercial agreements, supply contracts, and disputes arising from orders placed with FabFashion are governed by and construed in accordance with the laws of the Republic of India. The competent courts in Mumbai, Maharashtra, India shall have exclusive legal jurisdiction.
